Terms & Conditions for Create Worker’s AI Receptionist Service

1. Introduction

Welcome to Create Workers (“we,” “us,” or “our”). By using our AI Receptionist Service (“the Service”), you (“the Client”) agree to the following Terms & Conditions. This document outlines the rights and responsibilities of both parties regarding the setup, usage, and billing of our AI Receptionist.

2. Services Offered

1. AI Receptionist Setup

   • We will create, configure, and deploy a custom AI Receptionist for one business location.

   • Additional locations or coverage areas may incur additional setup fees or monthly charges.

2. Monthly Subscription

   • Once setup is complete, you will be charged a recurring monthly fee for ongoing use of the AI Receptionist.

   • The monthly fee covers typical, reasonable usage for a standard retail (or comparable) business, including call time and system maintenance.

3. Reasonable Usage

   • There is no explicit maximum limit on talk time; however, we reserve the right to determine if your usage exceeds what is considered “reasonable” based on standard retail business call volumes.

   • If your usage significantly exceeds typical retail needs, we may renegotiate your plan or cancel your service (see Section 5).

4. Automatic Call Termination

   • In order to prevent misuse or excessively long calls, the AI Receptionist system will automatically disconnect any call that exceeds 19 minutes in duration.

3. Payment and Billing

1. Setup Fee

   • A one-time setup fee will be charged upon completion of the AI Receptionist setup for your initial location.

   • Additional locations will require a separate or increased setup fee.

2. Monthly Billing

   • The monthly subscription fee is invoiced once the setup is completed.

   • Payment is automatically charged to the credit card on file.

   • There is a 2-week grace period for late payments; however, the automated billing cycle will continue on a monthly basis.

3. Changes After Setup

   • Any changes, updates, or custom development requested after the initial setup may incur additional fees.

   • These changes will be billed at an hourly rate or as agreed upon in writing.

   • The minimum billable increment is 30 minutes for any such changes.

4. Setup and Onboarding

1. Setup Timeline

   • We typically complete the AI Receptionist setup within 3 business days of receiving the necessary information from you.

2. Onboarding

   • After setup, we will send you an email containing instructions and a dedicated phone number for your AI Receptionist.

   • You are responsible for forwarding your existing phone lines to this new number.

5. Cancellation

1. Right to Cancel

   • Either party may cancel this contract at any time by sending a cancellation notice via email.

2. Immediate Termination

   • Cancellation takes effect immediately upon the email being sent and received.

3. No Refunds

   • There will be no refunds or pro-rated reimbursements for any remaining part of the monthly billing cycle.

4. Excessive Usage

   • We reserve the right to cancel the contract immediately or renegotiate your plan if your usage of the AI Receptionist is deemed excessive under typical retail business standards (e.g., significantly higher call volume or call length than normal).

6. Data Handling and Confidentiality

1. Data and Privacy

   • If you require special handling or compliance measures (e.g., GDPR or other regulations), you must inform us before setup so we can determine feasibility and associated costs.

   • Any data processed through the AI Receptionist is subject to these Terms & Conditions and any applicable laws.

2. Confidentiality

   • Both parties agree to keep confidential any proprietary or sensitive information exchanged during the course of this agreement.

   • This includes, but is not limited to, trade secrets, business plans, or any other information marked as confidential.

7. Intellectual Property

1. Ownership

   • All AI modules, prompts, training data, and related intellectual property developed by Create Workers remain the sole property of Create Workers.

   • We grant you a limited, non-transferable, revocable license to use the AI Receptionist during the subscription period.

2. Usage Rights

   • You may use the AI Receptionist solely for your internal business purposes.

   • This license terminates immediately upon cancellation or termination of the Service.

8. Disclaimer of Warranties

1. No Guarantees

   • We provide the AI Receptionist “as is” without any warranties of any kind, whether express or implied.

2. AI Output

   • The AI Receptionist’s output may be unpredictable or contain factual errors (“hallucinations”).

   • You understand and accept this risk when using the Service.

9. Limitation of Liability and Indemnification

1. No Liability

   • Under no circumstances shall Create Workers be liable for any direct, indirect, incidental, special, or consequential damages that result from the use or inability to use the AI Receptionist.

2. Indemnification

   • You agree to indemnify, defend, and hold Create Workers and its officers, employees, and agents harmless from and against any claims, damages, costs, and expenses (including legal fees) arising out of your use of the AI Receptionist or any actions taken by the AI on your behalf.

   • This includes, but is not limited to, claims that the AI Receptionist caused confusion, misrepresentation, or any kind of damage or loss to third parties.

10. Governing Law and Dispute Resolution

1. Governing Law

   • These Terms & Conditions are governed by and construed in accordance with the laws of the Province of Ontario, Canada.

2. Venue

   • Any dispute arising from or relating to these Terms & Conditions shall be resolved exclusively in the courts located in Toronto, Ontario.

11. Changes to the Terms & Conditions

We reserve the right to update or modify these Terms & Conditions at any time. Any changes will be posted on our website, and continuing to use the Service after changes are posted constitutes your acceptance of the revised Terms & Conditions.

12. Entire Agreement

These Terms & Conditions, along with any written agreements or addenda (if applicable), constitute the entire agreement between you and Create Worker regarding the AI Receptionist Service and supersede any prior or contemporaneous understandings or agreements.
